1. Introduction

These Terms of Service ("Terms") govern your use of the website https://www.northwestseo.co.uk/ ("Website") and the services provided by North West SEO ("we," "us," or "our"). By accessing our Website or engaging our services, you agree to be bound by these Terms.

We provide Search Engine Optimisation (SEO) and digital marketing services, including but not limited to:

  • On-page and technical SEO audits.

  • Content writing and optimisation.

  • Local SEO and Google Business Profile management.

  • Social media content creation.

4. Quotes and Orders

  • Custom Quotes: All services are provided based on a custom quote agreed upon in writing (via email or contract) before work begins.

  • Scope of Work: The specific deliverables (e.g., number of pages, specific audits, content pieces) will be detailed in your quote.

5. Payment Terms

  • Unless otherwise agreed in writing, our standard payment structures are:

  • Standard SEO Services: To initiate any new SEO project or service agreement, payment for the first day of work (£250, non-refundable) is required upfront. The remainder of the agreed scope will be invoiced upon completion (for ad-hoc projects) or billed monthly (for retainers and long-term projects).

  • Bespoke & Third-Party Projects: Projects requiring external expertise—such as web design, development, or paid media management—are quoted separately from our standard daily rate. When North West SEO project manages these services, a 50% upfront deposit of the bespoke project fee is required before external resources are booked or work commences.

  • Deposits & Refunds: The 50% deposit for bespoke and third-party projects is non-refundable once our specialist partners have commenced work.

  • Late Payment: We reserve the right to pause work or withhold deliverables (including delaying website launches, withholding website files, or suspending administrative access) if payment is not made by the agreed due date.

6. Client Obligations

To perform our services effectively, you agree to:

  • Provide necessary access to your website's Content Management System (CMS), Google Analytics, or other relevant platforms.

  • Provide a list of target URLs, topics, or keywords when requested.

  • Review and approve content or changes in a timely manner.

7. No Guarantees on Rankings

  • Work Guarantee: We guarantee that we will perform the work agreed upon to professional standards and best practices.

  • Ranking Disclaimer: You acknowledge that we cannot guarantee specific search engine rankings, traffic numbers, or sales. Search algorithms (e.g., Google, Bing) are third-party systems outside our control and are subject to frequent updates.

  • Monitoring: For specific projects, we may offer a monitoring period (e.g., 3 months) to track impact, but this does not constitute a guarantee of results.

8. Intellectual Property

  • Your Content: You retain ownership of all original content and materials you provide to us.

  • Deliverables: Upon full payment, ownership of the final SEO content, reports, and optimisations created specifically for you transfers to you. We reserve the right to use anonymised data or case studies for our own marketing unless you request otherwise.

9. Limitation of Liability

To the fullest extent permitted by law, North West SEO shall not be liable for:

  • Any indirect, incidental, or consequential damages (including lost profits or revenue).

  • Negative impacts on rankings due to search engine algorithm updates, previous SEO work done by third parties, or changes you make to the site without our advice.

  • Temporary website downtime caused by technical implementation or third-party hosting issues.

10. Termination

  • By You: You may terminate the agreement at any time by providing written notice. You will remain liable for payment for all work completed up to the date of termination.

  • By Us: We may terminate the agreement if you fail to pay invoices or breach these Terms.

11. Governing

Law These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the Website. Your continued use of our services constitutes acceptance of the modified Terms.
